This Terms of Use agreement ("Agreement") constitutes a legally binding contract between FirstDream Properties & Event Management Services Limited ("Company", "FirstDream", "We", "Us", or "Our") and any entity or individual ("Partner", "Broker", "Agency", "Developer", "User", or "You") registering for, accessing, or utilizing the FirstDream Partner Portal, software applications, media channels, and marketing tools (collectively referred to as the "Platform").
By clicking "I Agree", creating a Partner Account, or publishing property content on the Platform, you explicitly acknowledge that you have read, understood, and agreed to be legally bound by all terms, policies, and operational guidelines set forth herein.
1. Preamble, Statutory Foundation & Scope
This Agreement is drafted in accordance with applicable Indian laws, including the Indian Contract Act (1872), Information Technology Act (2000), Real Estate (Regulation and Development) Act (2016), and the Digital Personal Data Protection Act (2023).
- "Partner Account Workspace" means the verified dashboard allocated to a real estate professional or business entity upon onboarding.
- "Multi-Channel Promotion" refers to the 4 content publishing formats supported on FirstDream: Verified Property Listings, SEO Property Blogs, Property Swipes (Reels), and PropTube HD Video Walkthroughs.
- "Exclusive Buyer Lead" refers to any direct buyer inquiry, phone call click, or WhatsApp connection initiated by a home seeker responding to a Partner's published property content.
2. Partner Eligibility & RERA Credential Verification
To maintain a trusted real estate network, FirstDream enforces strict partner onboarding and credential audit standards:
- Age & Capacity: Partners must be at least 18 years of age and hold the legal authority to enter into commercial binding agreements in India.
- RERA License Compliance: All Individual Brokers, Real Estate Agencies, and Project Developers operating in Maharashtra or RERA-regulated states must provide valid MahaRERA / state RERA registration numbers during registration.
- Periodic Credential Audits: FirstDream performs automated and manual credential verification. Accounts attempting to publish listings using invalid, expired, or third-party RERA numbers will be suspended pending compliance verification.
- KYC Verification: FirstDream reserves the right to request business proof, PAN details, GSTIN documentation, and registered address verification prior to approving partner workspace access.
3. Multi-Channel Marketing Rules & Editorial Standards
Partners publishing content across FirstDream's 4 promotional channels agree to adhere strictly to editorial, technical, and accuracy standards:
- 3.1 Verified Property Listings: All property specifications, prices, floor plans, amenities, and location pins must be 100% accurate and backed by explicit owner or builder listing authorization. Phantom listings, bait-and-switch pricing, and ghost inventory are strictly prohibited.
- 3.2 SEO Property Blogs & Market Insights: Articles published in the Partner Insights feed must consist of original, high-value real estate analysis, locality guides, or project reviews. Plagiarism, AI spamming, duplicate copy-pasted text, and deceptive promotional links will result in content deletion and SEO indexing forfeiture.
- 3.3 Property Swipes (Short Reels): Short vertical video reels must depict genuine property interiors, architectural walkthroughs, or verified project construction progress. Background audio tracks must comply with copyright laws.
- 3.4 PropTube HD Video Walkthroughs: High-definition video walkthroughs and virtual tours must respect resident privacy and site security protocols. Commercial broadcast rights for project renders and video tours must be maintained by the publishing developer or agency.
Editorial Oversight: FirstDream reserves the absolute right to edit formatting, unpublish, or request clarification for any property listing, blog, or video that violates local advertising standards or RERA directives.
4. 100% Exclusive Lead Ownership & Direct Contact Guarantee
FirstDream operates under a legally binding Lead Privacy & Exclusivity Guarantee designed to safeguard partner commercial interests:
- Direct Account Routing: Every buyer inquiry, phone call click, or WhatsApp message triggered from your property listings, SEO blogs, Swipes reels, or PropTube videos routes solely and directly to your designated partner dashboard and mobile number.
- Non-Resale Protection: FirstDream guarantees that your buyer leads are never resold, shared, auctioned, or transferred to third-party brokerages, competitors, or external telemarketing entities.
- Direct Client Relationship: Partners retain 100% control over client site visits, price negotiations, commission agreements, and sales contracts without platform interference.
5. Data Protection & DPDP Privacy Compliance (Act of 2023)
Partners receiving buyer contact information via FirstDream must handle all personal data in strict compliance with the Digital Personal Data Protection Act (DPDP Act, 2023):
- Confidentiality Obligations: Buyer contact numbers, email addresses, financial budget preferences, and personal requirements disclosed to you via FirstDream must be kept strictly confidential.
- Purpose Limitation: Buyer data received through the Platform may only be used for responding to and fulfilling the specific property query initiated by the home seeker.
- Anti-Spam & Consent Rules: Partners shall not subject home buyers to unsolicited bulk spam, unauthorized telemarketing calls outside permissible hours, or unauthorized transfers of buyer records to external databases.
6. Team Seat Workspaces & Multi-Agent Governance
Agencies and Developers subscribing to multi-seat workspace packages agree to the following operational parameters:
- Sub-Account Seat Allocation: Master account holders may allocate sub-account seats to authorized company employees or agents. Sub-accounts inherit listing capabilities authorized by the master account.
- Master Account Liability: The primary account owner remains legally and financially responsible for all communications, listing submissions, media uploads, and lead interactions executed by secondary agent seats allocated under their plan.
7. Partner Subscriptions & Workspace Billing Terms
FirstDream provides technology workspace tools and multi-channel directory services under structured partner subscription packages:
- Workspace Subscription Plans: Partner workspace access, team management features, and multi-channel listing allocations are provided under monthly or annual subscription plans billed securely via online payment gateways (Razorpay).
- Automatic Renewals: Subscription packages renew automatically at the start of each billing cycle unless cancelled through your partner account dashboard prior to the renewal date.
- Plan Modifications & Tiers: Partners may upgrade their workspace plan tier or add secondary agent seats at any time through the subscription dashboard. Billing adjustments for plan modifications take effect on a prorated basis.
8. Intellectual Property & Marketing Asset Rights
Rights regarding uploaded marketing materials, photographs, floor plans, and video media:
- Asset Ownership: Partners retain full ownership of all proprietary logos, project renders, photography, and property documentation uploaded to their workspace.
- Broadcast License: By uploading content, you grant FirstDream a non-exclusive, worldwide, royalty-free license to format, index, cache, and broadcast your listings and media across FirstDream web, mobile, and partner syndication feeds for promotional purposes.
9. Prohibited Conduct & Account Enforcement Hierarchy
FirstDream maintains zero tolerance for fraudulent, deceptive, or abusive practices. The following acts constitute immediate grounds for account suspension or permanent termination:
- Submitting fraudulent RERA numbers, fake property addresses, or unverified price claims.
- Publishing offensive, defamatory, profane, or copyrighted media without rights.
- Attempting to bypass lead routing systems, reverse-engineer platform APIs, or scrape competitor database records.
- Demanding unauthorized advance booking fees from buyers without legal escrow authorization.
10. Limitation of Liability & Neutral Directory Disclaimers
FirstDream functions as an interactive multi-channel marketing network connecting home buyers with independent real estate professionals:
- Platform Neutrality: FirstDream is not a real estate brokerage, buyer agent, or title escrow holder, and does not participate in buyer-broker negotiations, sales agreements, or property title transfers.
- Dispute Exemption: FirstDream shall not be held liable for any financial losses, property defects, title disputes, contract breaches, or legal claims arising between home buyers and registered partners.
11. Indemnification & Severability
You agree to defend, indemnify, and hold harmless FirstDream, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, or regulatory fines arising from your breach of these Terms, false property claims, or violation of RERA regulations.
12. Governing Law, Dispute Resolution & Legal Contact
These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Pune, Maharashtra, India.
