1. Acceptance of Terms & Binding Agreement

Welcome to FirstDream (operated by FirstDream Property & Events Management Ltd., hereinafter referred to as "FirstDream", "we", "our", or "us"). By accessing, browsing, registering on, or using our website (firstdream.in), mobile interfaces, partner portals, or application tools, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions ("Terms").

These Terms constitute a valid and enforceable electronic contract under the Indian Contract Act, 1872 and the Information Technology Act, 2000. If you do not accept these Terms in their entirety, you must discontinue your use of our platform immediately.

2. Definitions

• "Portal" / "Platform": Refers to the website firstdream.in, sub-domains, mobile web portals, and software applications owned and operated by FirstDream.
• "User": Any individual, business entity, or visitor accessing or utilizing the Platform, whether as a buyer, tenant, landlord, promoter, or casual visitor.
• "Seeker" / "Buyer" / "Tenant": A user seeking residential or commercial properties to purchase or lease.
• "Owner" / "Landlord": A legal owner, co-owner, or authorized representative listing a property for rent or sale.
• "Partner" / "Developer" / "Promoter": Real estate builders, developers, or certified channel partners marketing registered real estate projects.
• "Zero Brokerage": The policy under which FirstDream levies no brokerage fees, middleman percentage cuts, or closing commissions on property deals.

3. Platform Role: Online Marketplace Intermediary

FirstDream operates exclusively as an online marketplace intermediary in accordance with Section 79 of the Information Technology Act, 2000:

• FirstDream is a discovery and networking technology platform facilitating direct introductions between property seekers and property hosts/promoters.
• FirstDream is not a real estate broker, commission agent, builder, architect, surveyor, or financial lender. We do not represent either party in property negotiations.
• We do not take part in property sale/lease agreements, do not hold security deposits or token advances in escrow, and do not inspect the structural integrity of listed properties.

4. Zero-Brokerage Charter & Direct Negotiations

FirstDream strictly adheres to a 100% Zero-Brokerage charter:

• No user is required or solicited to pay brokerage charges, transaction success cuts, or commission percentages to FirstDream for contacting property owners or closing deals.
• All contractual covenants—including sale prices, security deposits, monthly rent, lock-in clauses, society maintenance, and payment schedules—must be negotiated and executed directly between the parties.
• Seekers and owners are strongly advised to execute legally registered agreements (such as Leave & License agreements or Sale Deeds) and conduct independent legal title diligence before transferring funds.

5. User Eligibility & Account Obligations

To use FirstDream, you affirm and warrant that:

• You are at least 18 years of age and legally competent to enter into enforceable contracts under Indian law.
• All personal registration data, telephone numbers, and email addresses provided during verification are truthful, current, and complete.
• You are solely responsible for maintaining the confidentiality of your account credentials, login OTPs, and profile security. Any activity originating from your account will be attributed to you.
• You will not transfer, sell, or assign your registered account or dashboard access to any unauthorized third party.

6. Property Listing Rules & Owner Obligations

Any user submitting a property listing for sale or lease agrees to the following standards:

• Accuracy & Authenticity: All listing attributes—including location, carpet area, configuration (BHK), possession date, expected price, and amenities—must be truthful and reflective of the actual physical premises.
• Title & Authority: You warrant that you are either the registered owner of the property or possess written authorization from the title holder to list the property.
• Mandatory RERA Compliance: In accordance with the Real Estate (Regulation and Development) Act, 2016, all developers and promoters advertising ongoing or newly launched projects must furnish an authentic MahaRERA (or applicable State RERA) registration number. Listings lacking mandatory RERA details are subject to immediate rejection.
• No Bait-and-Switch: Listing artificial prices or unavailable configurations to lure inquiries ("bait pricing") is strictly forbidden.
• Administrative Discretion: FirstDream reserves the right to edit descriptions for formatting, request ownership validation documents, or unpublish any listing at its sole discretion without prior notice.

7. Seeker & Tenant Conduct Guidelines

Users searching for properties agree to conduct interactions in good faith:

• Contact information acquired through the platform must be utilized solely for personal property evaluations and negotiations.
• Commercial real estate brokers, agents, and telemarketers are strictly barred from harvesting landlord contact details from FirstDream for cold-calling or lead brokering.
• Users must maintain professional etiquette and schedule site visits only when genuinely interested in inspecting the premises.

8. PropTube Video Walkthroughs & Media Rights

By uploading photographs, architectural renderings, floor plans, or PropTube video tours to FirstDream, you:

• Grant FirstDream a non-exclusive, royalty-free, worldwide license to host, display, transcode, index, and promote such media on the platform and associated marketing channels.
• Warrant that you possess all requisite copyrights and rights of publicity for the uploaded content and that the media does not infringe any third-party proprietary rights.

9. Paid Services, Advertising & Cancellation/Refund Policy

FirstDream may offer optional paid marketing features (such as Featured Listings, Top Spotlight Banners, or Developer Marketing Bundles):

• Payment Terms: All paid campaigns must be prepaid through authorized online payment gateways (credit/debit cards, UPI, net banking). Prices are subject to applicable GST.
• Cancellation Window: Cancellations for scheduled advertisement packages may be requested within 24 hours of payment, provided the campaign has not been activated live.
• Refund Processing: Approved refunds are credited back to the original payment source within 7 to 10 working days.
• No Refund for Consumed Campaigns: No refund shall be issued for promotional packages once live impressions have been delivered or if a listing is suspended due to fraudulent claims or RERA non-compliance.

10. Intellectual Property Rights

All brand marks, logos, user interface designs, CSS typography systems, software source codes, database structures, and platform graphics associated with FirstDream are the exclusive intellectual property of FirstDream Property & Events Management Ltd. No portion of this site may be duplicated, scraped, mirrored, or reverse-engineered without our express prior written permission.

11. Prohibited Platform Activities

Users shall not engage in any of the following prohibited behaviors:

• Deploying automated crawlers, bots, or scrapers to extract listing records, contact information, or database content.
• Circumventing platform authentication protocols, firewalls, or rate-limiting security mechanisms.
• Transmitting spam, chain messages, malware, viruses, or unlawful defamatory content.
• Misrepresenting affiliation with FirstDream or impersonating another user or developer.

12. Disclaimer of Warranties

FirstDream provides the Platform and all listings on an "AS-IS" and "AS-AVAILABLE" basis without any express or implied representations or warranties whatsoever. Specifically:

• We do not warrant the structural stability, habitability, zoning conformity, or title perfection of any listed property.
• We do not warrant that developer project timelines, construction milestones, or possession dates will be adhered to by developers.
• Users are expressly advised to conduct independent physical surveys, municipal sanction checks, and legal title investigations before executing binding agreements or transferring consideration.

13. Limitation of Liability & Indemnification

To the fullest extent permissible by applicable law:

• FirstDream, its directors, officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, punitive, or consequential damages arising out of property transactions, developer delays, tenancy disputes, financial fraud between users, or site downtime.
• Our total aggregate liability under any circumstance shall be limited to the total fees paid by the user to FirstDream during the three (3) months preceding the claim, or INR 1,000, whichever is less.
• You agree to indemnify and hold harmless FirstDream against any third-party claims, liabilities, damages, and legal costs arising from your breach of these Terms or your infringement of any law or third-party right.

14. Governing Law, Dispute Resolution & Jurisdiction

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India. In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall endeavor to resolve the matter amicably. Failing amicable settlement, the dispute shall be subject to the exclusive jurisdiction of the competent courts situated in Pune, Maharashtra, India.
